About the Job:

We are seeking for an Assistant Manager - Governance to join our team who will be responsible for supporting all governance matters related to Almosafer and its subsidiaries. This includes drafting invitations, minutes of meetings, following up on decisions and requests, and managing the administrative communications of the boards and committees to ensure efficient workflow and proper implementation of decisions.

The role’s responsibilities encompass overseeing the organization's governance framework and ensuring compliance with regulations, policies, and best practices. It involves developing governance strategies, managing risk, and fostering a culture of accountability and transparency. 

 

Responsibilities:

Board Support & Administration:

  • Provide administrative support for board meetings, including scheduling, managing invitations, and coordinating the logistics of meetings.
  • Prepare and circulate board materials, including agendas, reports, and other documents, in advance of meetings.
  • Draft accurate minutes of board meetings, ensuring they reflect key discussions, decisions, and action items.
  • Follow up on the execution of governance resolutions and decisions made during board meetings.

Governance Framework & Procedures:

  • Assist in the development, implementation, and maintenance of governance policies and procedures for Almosafer and its subsidiaries.

  • Ensure compliance with corporate governance standards and best practices across all governance processes.

Stakeholder Coordination:

  • Coordinate with internal and external stakeholders (executives, board members, legal advisors, auditors, etc.) to ensure smooth governance processes and communication.

  • Support the development and implementation of action plans following board decisions.

Expansion of Governance Structures:

  • Provide support for the creation and management of board committees as part of expanding Almosafer’s governance framework.

  • Assist in the drafting and reviews of board and committee charters and ensure proper functioning and adherence to governance policies.

Reporting & Documentation:

  • Maintain accurate and up-to-date records of board and committee meetings, resolutions, and other governance documentation.

  • Support the preparation of governance reports for executive leadership, board members, and regulatory bodies.

Continuous Improvement:

  • Identify opportunities to improve governance processes and administrative procedures.

  • Stay informed about developments in corporate governance and compliance to ensure the company remains up to date with industry standards.

 

Profile Requirements:

  • Bachelor's degree in Business Administration, Law, or a related field.
  • Excellent written and verbal communication skills in both Arabic and English, with a keen eye for detail.
  • Proven experience in corporate governance, board affairs, legal, compliance, or a related field (3+ years preferred).
  • Strong understanding of governance frameworks, board processes, and compliance standards.
  • Exceptional organizational skills with the ability to manage multiple tasks and deadlines effectively.
  • Proficiency in Microsoft Office Suite (Word, PowerPoint) and other relevant software.
  • Ability to work effectively with senior executives, board members, and other key stakeholders.
  • Strong interpersonal skills and a proactive approach to problem-solving.
  • Knowledge of industry best practices in corporate governance is an asset.
